Every fee comes from the same rules as our GmbH setup costs guide: the notary fee schedule and Table B of the GNotKG, the register fee regulation (HRegGebV) and VAT. The notary fee is a multiple of a Table B amount for a "value" the law sets: for the articles, the share capital but at least €30,000 (up to €1 million here), plus, where a separate resolution appoints the managing director, a further 1% of the capital but at least €30,000. The shareholder list is capped at €250 and the register data file at €125, which matters at higher capital.

Naming the managing director in the articles themselves, instead of by a separate resolution, avoids the second value and lowers the fee. Which route suits you is a question for your notary. For what a company costs to run afterwards, see GmbH running costs in Germany.

  • Covered: cash capital from €1 (a UG) to €1 million, formed in person or by video call, with the four routes in the menu.
  • Not covered: non-cash contributions, a one-shareholder GmbH with its own articles, certified copies, advice, banking and translations.
How are German notary fees for a GmbH calculated?
Under Table B of the Court and Notary Fees Act (GNotKG), applied to a value set by law. For articles of association the value is the share capital but at least €30,000, so a €25,000 GmbH is charged as if it had €30,000. The fee is a multiple of the Table B amount: 2.0 for a contract between several shareholders, 1.0 for a one-person deed, plus fees for the shareholder list, the register filing and 19% VAT.
What does the model protocol change?
The statutory model protocol (GmbHG § 2(1a)) can be used with up to three shareholders and one managing director. It has no €30,000 minimum value, so the fee follows the actual share capital, and the list of shareholders is part of the protocol. It cannot be altered.
What are the Handelsregister (commercial register) fees?
€225 for the first entry of a GmbH or UG (HRegGebV no. 2100) plus one third, €75, for making the register data available (no. 6000): €300 in total. A non-cash contribution raises the entry fee to €360. The calculator covers cash capital only.
Why is the trade office fee only an example?
Each municipality sets its own fee for the business notification. The calculator uses Berlin's published €31; check your city's service portal.
Does this include everything a GmbH costs to set up?
No. It covers the official fees only. Legal and tax advice, the business bank account, translations and certified copies depend on the provider; see the full guide to GmbH setup costs for what to budget.
